Plain-Language Summary — Read This First
TAVA is a research and learning workflow platform. These Terms govern your use of everything we build and operate. Here is what matters most: Your thinking is yours — your private Topics are invisible to your teammates, and TAVA, always. Your data is never used to train AI models. You control what becomes visible — only work you deliberately add to a Project becomes shared with the team you choose to work with. Institutional contracts govern institutional use; these Terms apply to all individual and team users.

1. Agreement to These Terms
These Terms of Service ("Terms") are a legally binding agreement between you and TAVA Learning Inc. ("TAVA," "we," "us," or "our"). By accessing or using the TAVA website at tavalearning.ai (and all subdomains), the TAVA web application, the TAVA browser extension, or any other TAVA service (collectively, the "Services"), you agree to be bound by these Terms.
If you are using the Services on behalf of an institution, organization, or employer, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
If you do not agree to these Terms, you may not access or use the Services.
Institutional Users.
If your institution has entered into a separate Master Services Agreement or institutional contract with TAVA, that agreement governs your institution's use of the Services. These Terms apply to all users within that institution who are not otherwise covered by a more specific agreement, and govern any matters not addressed in the institutional contract.
2. Definitions
Account — Your registered user account on the TAVA platform, including all associated credentials, settings, and data.
Content — Any text, notes, documents, sources, annotations, uploads, prompts, outputs, or other materials you create, submit, store, or generate using the Services.
Institution — An educational institution, a corporation, a non-profit or other entity that has entered into an agreement with TAVA for access to the Services.
Notes — The atomic knowledge units in TAVA — discrete pieces of information created via any of the six supported Note generation methods, each carrying full provenance metadata.
Projects — The shared, collaborative workspaces in TAVA where curated Notes, sources, documents, and team contributions are assembled and made visible to authorized collaborators.
Services — The TAVA website (tavalearning.ai and subdomains), the TAVA web application, the TAVA browser extension, all APIs, and any other products or services provided by TAVA Learning Inc.
Topics — The private, user-specific research and ideation spaces in TAVA. Topics are never shared with, institutions, corporations, teammates, or any other party — ever.
User — Any individual who accesses or uses the Services.
User Content — All Content you create, upload, or generate within the Services, including Notes, Topics, Projects, uploaded documents, and document outputs.
3. Who May Use TAVA
3.1 Age Requirements
You must be at least 13 years of age to use the Services. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Services and that they have read and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13 without verified parental consent in compliance with COPPA.
Institutional deployments serving users under 13 must be governed by a separate institutional agreement that addresses parental consent and COPPA compliance requirements.
3.2 Account Eligibility
By creating an Account, you represent and warrant that: (a) all information you provide is accurate and current; (b) you have the legal capacity to enter into these Terms; (c) you are not barred from using the Services under applicable law; and (d) you will comply with these Terms.
3.3 Geographic Availability
The Services are currently operated from and primarily directed at users in the United States. Users are responsible for compliance with local laws applicable to their use of the Services.
4. The TAVA Platform — What We Provide
4.1 Core Platform Description
TAVA is an AI-powered research and learning workflow platform that enables students, educators, and knowledge workers collaborate with artificial intelligence and each other, while preserving intellectual integrity, traceability, and human agency. The platform is organized around three core constructs:
- Topics — your private research and ideation space. Fully personal, fully private. No one else can see this space.
- Projects — your shared, collaborative workspace. Work is visible here only because you deliberately moved it from a Topic into a Project. It is visible only to teammates you invite.
- Notes — the building blocks of knowledge in TAVA. Every Note carries full provenance: its origin method, author, timestamp, and source are always recorded and traceable.
4.2 Features Included in the Services
Subject to your subscription tier and any applicable institutional agreement, the Services may include:
- Research discovery tools (Best Sources multi-engine search, Boost Insight, What Am I Missing? gap analysis)
- Six Note generation methods: Manual Entry, Ask LLM, Bookmark, Website Text Extraction, Screenshot Processing, and Translation
- AI-powered document generation from accumulated Notes, with full Note-to-section traceability
- Browser extension for in-context research capture
- Collaboration features including role-based access (Contributor, Reader), project sharing, and real-time commenting
- Google Docs one-way export
- Audit trail and contribution analytics
4.3 Service Availability
TAVA targets 99.9% platform uptime. We do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable. We are not liable for downtime caused by circumstances beyond our reasonable control.
4.4 Beta Features
We may offer features designated as "beta," "preview," or "experimental." These features are provided as-is, may be modified or discontinued at any time without notice, and are excluded from any uptime or performance commitments.
4.5 Service Changes
We reserve the right to modify, expand, or discontinue any feature or aspect of the Services at any time. We will provide reasonable notice of material changes that negatively affect your use of the Services.
5. Your Account
5.1 Account Registration
To access most features of the Services, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep your Account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account.
5.2 Account Security
You must notify us immediately at support@tavalearning.ai if you become aware of any unauthorized access to or use of your Account. We are not liable for any loss or damage arising from your failure to maintain the security of your credentials.
5.3 Institutional Accounts
If your Account is provisioned through an institutional agreement, your institution may have administrative rights over your Account, including the ability to modify access, add or remove you from Projects, and view Project-level activity. Your institution's rights do not extend to your Topics or any content not deliberately added to a Project. See Section 7 for the complete faculty and institutional access framework.
5.4 One Account Per Person
Each Account is for a single named individual. You may not share your Account credentials with another person or create accounts on behalf of others without their knowledge and consent.
6. Privacy, Data, and the Two-Space Model
TAVA's Core Privacy Commitments
Your Topics are always private. No institution, teammate, collaborator, or TAVA employee can view the content of your Topics. This is an absolute technical and philosophical boundary. Your data is never used to train AI models. You control what becomes visible — only work you deliberately promote from a Topic into a Project becomes accessible to collaborators or teachers. The access control architecture enforces project-level data boundaries at the API and database level, so there is no cross-project data leakage.
6.1 The Two-Space Architecture
Topics — Private Thinking Space. Visible to you only, absolute and non-negotiable. Used for exploring ideas, asking questions, clarifying material, and drafting early thoughts, freely and without judgment. Not visible to educators teammates, project collaborators, supervisors or anyone else — ever.
Projects — Collaborative Workspace. Visible to you and the collaborators you invite, at the roles you assign. Used for curated, shared work: Notes deliberately added, documents generated, uploaded materials, and collaboration. In education use cases, teachers can see Project-level Notes, documents, LLM usage inside the Project, and dashboards and analytics, when the user is notified in advance. Teachers cannot see Topics — ever.
6.2 Data We Collect and How We Use It
We collect and use data as described in our Privacy Policy, which is incorporated into these Terms by reference and available at tava.ai/privacy. In summary:
- Account data: name, email address, institutional affiliation, and authentication credentials
- Usage data: actions within the platform — used to provide the Services, power dashboards, and generate analytics
- Content: Notes, Topics, Project content, uploaded documents, and generated outputs — stored securely and used only to provide the Services to you
- Technical data: browser type, device type, IP address, and error logs — used for security, performance, and debugging
We do not sell your personal data. We do not use your Content to train AI models. We do not share your data with third parties except as necessary to provide the Services or as required by law.
6.3 Regulatory Compliance
TAVA is committed to FERPA (Family Educational Rights and Privacy Act) compliance — governing student educational records at institutions that receive federal funding. Institutional agreements include Data Processing Agreements addressing FERPA requirements specific to each institution's student population.
6.4 Data Security
We implement industry-standard security measures including AES-256 encryption at rest, TLS 1.2–1.3 encryption in transit, per-tenant data isolation, and role-based access control enforced at both the application and database layers. We have maintained zero security incidents in over 12 months.
6.5 Data Retention and Deletion
You may request deletion of your Account and associated data at any time by contacting support@tavalearning.ai. We will process deletion requests within one (1) business day on average. Certain data may be retained as required by applicable law or legitimate institutional interests. We will inform you of any such retention upon request.
6.6 Audit Trail Data
TAVA maintains an audit trail of user actions within Projects (not Topics) as a core platform feature. This audit trail records Notes added, documents generated, collaboration events, LLM usage within Projects, and engagement timelines. This data is accessible to you, your collaborators, and authorized institutionalmembers within the scope of their Project access rights. Topics are excluded from the audit trail entirely.
7. Institutional Accounts in Education
7.1 Institutional Agreements
Institutions accessing the Services under an institutional contract (Tier 3) are subject to the terms of that contract in addition to these Terms. Where there is a conflict between an institutional contract and these Terms, the institutional contract governs for matters within its scope.
7.2 Faculty and Teacher Access Rights
What faculty/teachers can see (Project-level only) with granted permissions: Notes intentionally added to a Project by a student; documents generated inside the Project; uploaded documents intentionally added to the Project; LLM usage inside the Project; Project-level dashboards, engagement timelines, contribution analytics, and alignment scoring.
What teachers cannot see (absolute restrictions): Topics, in any form, ever, under any circumstances; questions asked inside Topics, Topic Notes, Topic drafts, or Topic-level LLM usage; any Note or document not intentionally added to a Project by the student; and the student's private reasoning process, exploratory thinking, or early drafts.
7.3 Faculty Obligations
Faculty and teacher accounts may only use student Project data for legitimate educational purposes including evaluation, feedback, academic integrity review, and pedagogical alignment analysis. Faculty members may not share, export, or use student Project data for purposes unrelated to the course or institution for which access was granted.
7.4 Institutional Administrator Rights
Institutional administrators may manage user accounts, configure institutional settings, and access institution-level analytics. Administrator access does not override the Topic privacy boundary. No account type, including institutional administrator accounts, can access the content of student Topics.
8. Acceptable Use
8.1 Permitted Uses
You may use the Services for lawful educational, research, and knowledge work purposes consistent with these Terms, TAVA's design philosophy, and any applicable institutional policies.
8.2 Prohibited Uses
You may not use the Services to:
- Violate any applicable law, regulation, or institutional policy
- Submit, share, or generate content that is unlawful, harmful, defamatory, obscene, harassing, or threatening
- Infringe the intellectual property rights of any person or entity
- Attempt to gain unauthorized access to any system, account, or data, including other users' Topics or Projects
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
- Use the Services to develop a competing product or service
- Circumvent, disable, or interfere with security features of the Services
- Use automated scripts, bots, or scrapers to access the Services except through TAVA's officially provided APIs
- Upload malicious code, viruses, or any content designed to disrupt or damage the Services or other users
- Misrepresent your identity, affiliation, or credentials
- Share your Account credentials with any other person
8.3 AI Use Transparency
TAVA is designed to make AI use visible and accountable. You agree not to misrepresent the provenance of content within the platform — including falsely attributing AI-generated content as entirely human-authored in contexts where accurate attribution is required. TAVA's audit trail is designed to support, not circumvent, honest disclosure.
8.4 Enforcement
We reserve the right to investigate and take appropriate action for violations of this Acceptable Use policy, including suspending or terminating your Account, removing Content, and reporting conduct to law enforcement or your institution where required.
9. Intellectual Property
9.1 TAVA's Intellectual Property
The Services, including all software, algorithms, designs, text, graphics, interfaces, and the TAVA AI Foundry architecture, are the proprietary property of TAVA Learning Inc. and are protected by copyright, trade secret, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. No other rights are granted.
9.2 Your Content — You Own It
You retain full ownership of all User Content you create within the Services, including your Notes, Topics, Projects, uploaded documents, and generated outputs. TAVA does not claim ownership of your Content.
9.3 License You Grant to TAVA
By using the Services, you grant TAVA a limited, non-exclusive, worldwide, royalty-free license to access, store, process, and transmit your Content solely as necessary to provide the Services to you. This license does not include the right to use your Content to train AI models, sell your Content, or share your Content with third parties except as described in Section 6 and our Privacy Policy.
9.4 Content You Generate Using AI
Content you create using TAVA's AI features is owned by you subject to any applicable terms of the underlying AI model provider. TAVA's provenance tracking records which portions of your Content were generated with AI assistance. You are responsible for reviewing AI-generated Content for accuracy before relying on or submitting it.
9.5 Feedback
If you provide TAVA with feedback, suggestions, or ideas about the Services, you grant TAVA a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.
9.6 Third-Party Content
The Services may allow you to import, bookmark, or reference content from third-party sources. You are responsible for ensuring that your use of third-party content complies with applicable copyright and licensing terms. TAVA does not claim ownership of third-party content and is not responsible for its accuracy or availability.
10. AI Features — Use, Limitations, and Responsibility
10.1 AI as Partner, Not Decision-Maker
TAVA integrates AI language models to assist your research and learning workflow. AI in TAVA is designed to be a transparent, accountable partner whose contributions are visible, attributable, and subordinate to your judgment. TAVA does not position AI as a substitute for human thinking.
10.2 AI Output Limitations
Important — AI Output Is Not Guaranteed to Be Accurate.
AI language models can produce inaccurate, incomplete, outdated, or misleading outputs — including hallucinated citations and sources. TAVA's Source Review Protocol requires you to review all sources before finalizing documents, but this is your responsibility as the human author. Do not submit AI-assisted work without reviewing it for accuracy. TAVA is not liable for errors in AI-generated content.
10.3 LLM Providers
TAVA uses third-party AI model providers (currently OpenAI, Azure-hosted; Anthropic Claude integration in development). Your prompts and queries submitted through TAVA's AI features are processed by these providers subject to their applicable terms and data use policies. TAVA's agreements with AI providers prohibit the use of your data to train their models.
10.4 LLM Attribution
TAVA records which AI model was used to generate each piece of content. This attribution is stored in the platform's audit trail and may be visible to authorized collaborators and faculty within the Project context.
10.5 Your Responsibility for AI-Assisted Work
You are responsible for all Content you submit, share, or publish, regardless of whether it was generated with AI assistance. TAVA's audit trail and provenance tracking are tools to support honest disclosure — they do not relieve you of academic or professional responsibility for the accuracy and integrity of your work.
10.6 Ethics Mode
TAVA's Ethics Mode applies additional constraints to keep AI output subordinate to your own thinking and synthesis. Enabling or disabling Ethics Mode does not affect your underlying obligations under these Terms or your institution's academic integrity policies.
11. Third-Party Services and Integrations
11.1 Third-Party Integrations
The Services integrate with or provide export functionality to third-party services including Google Docs, learning management systems, and search engines. Your use of these third-party services is governed by their respective terms of service and privacy policies. TAVA is not responsible for the practices or content of any third-party service.
11.2 Google Docs Export
TAVA provides a one-way export of generated documents to Google Docs. Once a document is exported, TAVA does not track edits made in Google Docs. The exported document becomes subject to Google's terms of service. Edits made in Google Docs after export are not reflected in the TAVA audit trail.
11.3 Learning Management System Integration
Where an institution has enabled LMS integration (e.g., via LTI 1.3), TAVA may receive course roster data from the institution’s LMS and may write contribution or alignment scores back to the institution's gradebook. This data exchange is governed by the institution's agreement with TAVA and the applicable LMS provider's terms.
11.4 Browser Extension
The TAVA browser extension operates within your browser to capture research content from web pages. The extension only transmits data to TAVA's own servers and does not share your browsing activity with third parties. You may uninstall the extension at any time without affecting your TAVA account.
11.5 External Links
The Services may contain links to third-party websites or resources. These links are provided for convenience only. TAVA does not endorse and is not responsible for the content, privacy practices, or availability of linked third-party sites.
12. Fees, Subscriptions, and Payment
12.1 Subscription Tiers
TAVA offers a range of service and subscription plans designed to meet the needs of different users and organizations. Pricing varies by plan and may depend on factors such as organization size, feature scope, contract term, and other commercial terms negotiated with TAVA. Specific pricing is confirmed at the time of subscription or execution of an institutional agreement. TAVA reserves the right to modify pricing for existing subscribers with 30 days' advance notice.
12.2 Pilots
Individual subscribers may access the platform for the pilot period defined by their institution or corporation. At the end of the pilot period, access to features will be suspended unless an agreement is renewed.. Your Content is retained for 30 days after the pilot period expires.
12.3 Payment
Subscription fees are billed in advance on a monthly or annual cycle as selected at the initiation of a contract,.. All fees are in US Dollars. We use third-party payment processors; your payment information is subject to the processor's privacy and security practices.
12.4 Refunds
We do not offer refunds for subscription fees except where required by applicable law or where we have materially failed to provide the Services. Refund requests should be directed to support@tavalearning.ai.
12.5 Failure to Pay
If a subscription payment fails, we will notify you and provide a grace period before suspending access. Your Content is retained during the grace period.
13. Warranties and Disclaimers
13.1 Our Limited Warranty
We warrant that we will provide the Services with reasonable skill and care and in accordance with these Terms.
13.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN SECTION 13.1, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. Nothing in this Section limits any statutory rights you may have under applicable law that cannot be excluded by contract.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) TAVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. (b) TAVA'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (i) THE FEES YOU PAID TO TAVA IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (ii) ONE HUNDRED US DOLLARS ($100).
These limitations apply regardless of the legal theory and even if TAVA has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages — in such jurisdictions, TAVA's liability is limited to the fullest extent permitted by law.
Nothing in these Terms limits TAVA's liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless TAVA Learning Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) your User Content; (c) your violation of any applicable law; or (d) your infringement of any third-party right.
16. Termination and Account Suspension
16.1 Termination by You
You may close your Account at any time by contacting support@tavalearning.ai. Upon closure, your Account will be deactivated and theContent of all users associated with your account scheduled for deletion within 30 days, subject to any retention obligations described in Section 6.5.
16.2 Termination or Suspension by TAVA
We may suspend or terminate your access to the Services at any time, with or without notice, if: (a) you violate these Terms; (b) we are required to do so by law; (c) your institution requests termination of your institutional account; or (d) we discontinue the Services (with reasonable notice).
16.3 Effect of Termination
Upon termination: (a) your license to use the Services ends immediately; (b) you lose access to your Account and Content; (c) we may delete your Content after any applicable retention period; and (d) provisions of these Terms that by their nature should survive termination will survive, including Sections 9, 13, 14, 15, and 17.
17. Dispute Resolution and Governing Law
17.1 Governing Law
These Terms and any dispute arising from them are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
17.2 Informal Resolution First
Before initiating any formal dispute process, you agree to contact us at support@tavalearning.ai and attempt to resolve the dispute informally. We will attempt to resolve any dispute within 30 days of receiving written notice.
17.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be resolved by binding individual arbitration in Delaware under the American Arbitration Association's Commercial Arbitration Rules. The arbitrator's decision is final and binding. You and TAVA each waive the right to a jury trial.
17.4 Class Action Waiver
YOU AND TAVA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Class arbitrations, class actions, and representative actions are not permitted.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by: (a) posting a notice in the TAVA application; (b) sending an email to the address on your Account; or (c) posting revised Terms at tava.ai/terms with an updated effective date.
Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and may close your Account.
19. General Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable institutional agreement or SOW, constitute the entire agreement between you and TAVA regarding the Services and supersede all prior agreements on this subject matter.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
19.3 Waiver
TAVA's failure to enforce any provision of these Terms is not a waiver of its right to do so later. Waivers must be in writing to be effective.
19.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without TAVA's prior written consent. TAVA may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided your data privacy rights are maintained.
19.5 Force Majeure
TAVA is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or pandemics.
19.6 Notices
We will send notices to the email address on your Account. Legal notices to TAVA must be sent to: TAVA Learning Inc., Attn: Legal @ support@tavalearning.ai.
19.7 Independent Contractor
Nothing in these Terms creates any employment, partnership, joint venture, or agency relationship between you and TAVA.
19.8 Accessibility
TAVA is working toward WCAG 2.1 AA accessibility compliance across all platform surfaces. If you encounter accessibility barriers, please contact support@tavalearning.ai.
19.9 Language
These Terms are written in English. In the event of any inconsistency between an English version and a translated version, the English version controls.
19.10 Export Controls
You agree to comply with all applicable US and international export control laws and regulations in your use of the Services.
